When you place an order, you are making an offer to purchase. Yarn Depot reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until Yarn Depot confirms acceptance. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting, as Yarn Depot may be unable to accommodate cancellation requests after an order is accepted. In the event that we do not accept, make a change to, or cancel an order, we will attempt to notify you by contacting the e‑mail, billing address, and/or phone number provided at the time the order was made.
Your purchases are subject to return or exchange solely in accordance with our Refund Policy. 
You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.

SECTION 4 - PRICES AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, customs or import charges.
Prices posted in our online stores may be different from prices offered in physical stores or in online or other stores operated by third parties. We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control. Once we transfer products to the carrier, title and risk of loss passes to you.

Unauthorized use of the Services may be a violation of federal and state intellectual property laws. All rights not expressly granted herein are reserved by Yarn Depot.
Yarn Depot’s names, logos, product and service names, designs, and slogans are trademarks of Yarn Depot or its affiliates or licensors. You must not use such trademarks without the prior written permission of Yarn Depot. Shopify’s name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

SECTION 7 - OPTIONAL TOOLS
You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control nor input.
You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

Yarn Depot is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Yarn Depot. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Yarn Depot, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Yarn Depot.

All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may be subject to Shopify’s Privacy Policy, which can be viewed here. By using the Services, you acknowledge that you have read these privacy policies.

You agree to indemnify, defend and hold harmless Yarn Depot, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities or claims, including reasonable attorneys’ fees, payable to any third party due to or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.
We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of such claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld). You will cooperate in the defense of indemnified claims, including by providing relevant documents.

De plus, vous acceptez de ne pas : (a) téléverser ou transmettre des virus ou tout autre code malveillant pouvant affecter le fonctionnement des Services; (b) reproduire, dupliquer, copier, vendre, revendre ou exploiter toute partie des Services; (c) collecter ou suivre les renseignements personnels d’autrui; (d) envoyer du spam, hameçonner (phish), pharm, utiliser un prétexte, spider, crawler ou scraper; ou (e) interférer avec ou contourner les fonctionnalités de sécurité des Services ou de tout site web connexe, d’autres sites web ou d’Internet. Nous nous réservons le droit de suspendre, désactiver ou résilier votre compte à tout moment, sans préavis, si nous déterminons que vous avez violé une partie des présentes Conditions.

SECTION 14 - RÉSILIATION

Nous pouvons résilier la présente entente ou votre accès aux Services (ou à toute partie de ceux-ci) à notre seule discrétion, à tout moment et sans préavis, et vous demeurerez responsable de tous les montants dus jusqu’à et y compris la date de résiliation.

NOUS NE GARANTISSONS PAS QUE VOTRE UTILISATION DES SERVICES SERA ININTERROMPUE, PONCTUELLE, SÉCURISÉE OU EXEMPTE D’ERREURS. DANS LA PLUS LARGE MESURE PERMISE PAR LA LOI, EN AUCUN CAS Yarn Depot, NOS PARTENAIRES, ADMINISTRATEURS, DIRIGEANTS, EMPLOYÉS, SOCIÉTÉS AFFILIÉES, AGENTS, ENTREPRENEURS, FOURNISSEURS DE SERVICES OU CONCÉDANTS DE LICENCE, NI CEUX DE SHOPIFY ET DE SES SOCIÉTÉS AFFILIÉES, NE POURRONT ÊTRE TENUS RESPONSABLES DE TOUTE BLESSURE, PERTE, RÉCLAMATION OU DE TOUT DOMMAGE DIRECT, INDIRECT, ACCESSOIRE, PUNITIF, SPÉCIAL OU CONSÉCUTIF DE QUELQUE NATURE QUE CE SOIT, Y COMPRIS, SANS LIMITATION, LA PERTE DE PROFITS, LA PERTE DE REVENUS, LA PERTE D’ÉCONOMIES, LA PERTE DE DONNÉES, LES COÛTS DE REMPLACEMENT OU TOUT DOMMAGE SIMILAIRE, QUE CE SOIT EN VERTU D’UN CONTRAT, D’UN DÉLIT (Y COMPRIS LA NÉGLIGENCE), D’UNE RESPONSABILITÉ STRICTE OU AUTRE, DÉCOULANT DE VOTRE UTILISATION DES SERVICES OU DE TOUT PRODUIT OBTENU VIA LES SERVICES, OU DE TOUTE AUTRE RÉCLAMATION LIÉE DE QUELQUE MANIÈRE QUE CE SOIT À VOTRE UTILISATION DES SERVICES OU D’UN PRODUIT, Y COMPRIS, SANS S’Y LIMITER, TOUTE ERREUR OU OMISSION DANS TOUT CONTENU, OU TOUTE PERTE OU DOMMAGE DE QUELQUE NATURE QUE CE SOIT RÉSULTANT DE L’UTILISATION DES SERVICES OU DE TOUT CONTENU (OU PRODUIT) PUBLIÉ, TRANSMIS OU AUTREMENT RENDU DISPONIBLE VIA LES SERVICES, MÊME SI NOUS AVONS ÉTÉ AVISÉS DE LA POSSIBILITÉ DE TELS DOMMAGES.

SECTION 17 - INDEMNISATION

Vous acceptez d’indemniser, de défendre et de tenir indemnes Yarn Depot, Shopify, ainsi que nos sociétés affiliées, partenaires, dirigeants, administrateurs, employés, agents, entrepreneurs, concédants de licence et fournisseurs de services contre toute perte, tout dommage, toute responsabilité ou toute réclamation, y compris des honoraires raisonnables d’avocats, dus à un tiers en raison de ou découlant de : (1) votre violation des présentes Conditions d’utilisation ou des documents qu’elles intègrent par renvoi, (2) votre violation de toute loi ou des droits d’un tiers, ou (3) votre accès et votre utilisation des Services.

Nous vous informerons de toute réclamation indemnisable, étant entendu qu’un défaut de notification rapide ne vous libérera pas de vos obligations, sauf si vous subissez un préjudice important. Nous pouvons contrôler la défense et le règlement d’une telle réclamation à vos frais, y compris le choix de l’avocat, mais nous ne réglerons aucune réclamation exigeant de votre part des obligations non monétaires sans votre consentement (qui ne sera pas refusé de manière déraisonnable). Vous coopérerez à la défense des réclamations indemnisées, notamment en fournissant les documents pertinents.

SECTION 18 - DIVISIBILITÉ

SECTION 21 - DROIT APPLICABLE

Les présentes Conditions d’utilisation et toute entente distincte par laquelle nous vous fournissons les Services seront régies et interprétées conformément aux tribunaux fédéraux et étatiques ou territoriaux de la juridiction où Yarn Depot a son siège social. Vous et Yarn Depot consentez à la compétence territoriale et personnelle de ces tribunaux.
